Mondelez Global LLC is seeking a Director & Senior Counsel, M&A Competition & Global Law. The role requires substantive antitrust and merger control experience to provide legal analysis, advice, and support for global merger, acquisition, divestiture, and joint venture ("M&A") transactions while also offering growth and development opportunities across numerous global legal practices areas. Based in Chicago, IL, East Hanover, NJ or Washington D.C., this role will report to the Senior Director & Chief Counsel, M&A Competition Law & Well-being.
How you will contribute
As a member of the legal M&A and Global Law team, advise Mondelez and its subsidiaries on U.S. and global merger control and antitrust & competition law matters and have the opportunity to develop legal experience, skills and expertise in global law areas such as well-being/food regulatory law and legal strategy, artificial intelligence (AI), supply chain, marketing, and licensing. Primary responsibilities will include day-to-day support of the merger control program for M&A transactions worldwide with sound, commercially pragmatic and creative legal counsel to our businesses. Other matters, to be assigned ad hoc, may include helping support enterprise competition law program & commercial competition law matters, well-being/food regulatory strategy, and AI, marketing, supply chain, and licensing matters.

- Global Merger Clearance:
- Advise on all competition aspects of actual and potential M&A transactions, including:
- due diligence and integration planning;
- desktop and full scope antitrust risk assessments;
- structuring, drafting and reviewing clean team agreements, regulatory covenants and risk allocation;
- developing strategies for obtaining approvals for multijurisdictional transactions;
- global merger filings;
- managing second requests and investigations;
- reviewing executive and Board materials;
- monitoring trends in merger clearance enforcement; and
- engaging with regulators regarding third party M&A transactions.
- Train business and function leaders as well as other stakeholders on document creation, gun jumping and other competition related transaction risks; and
- Help refine and manage a global merger clearance filing strategy;
- Help refine, manage and enhance comprehensive knowledge management practices, including best practices, tools and processes;
- Partner with outside counsel and experts, as appropriate, on any of the above activities.
- Advise on all competition aspects of actual and potential M&A transactions, including:
- General Competition Law Counseling:
- Partner as needed on design and implementation of antitrust compliance programs, audits and training materials; and
- Support select competition matters, including supply chain, benchmarking, and R&D.
- Global Law
- Support enterprise well-being legal matters, including legal support for the company's well-being strategy, disclosures and claims.
- Legal analysis and advice to support enterprise AI programs, including AI policies and procedures and evaluating proposed AI use cases.
- Support for global marketing and media priorities, including brand equity initiatives and influencer engagements.
Required Qualifications
- 5+ years' experience as a licensed attorney practicing substantive antitrust law in the US and/or EU, including HSR/EC merger filing processes.
- JD from an US accredited law school and license to practice law in at least one US jurisdiction; ability to be licensed as inhouse counsel in Illinois or NJ.
- Experience with multijurisdictional analysis and filings, merger clearance investigations and Second Requests.
- Substantial business judgment with a capacity to make decisions and give advice in a risk-calibrated manner, demonstrating an understanding of overall business objectives and the risks/rewards of each situation.
- Strong work ethic, excellent writing skills, and a demonstrated ability to communicate effectively with a non-legal audience, including business leaders and functional partners in Corporate Development, Tax, Accounting, Finance, HR, IT, Compliance and Treasury.
- Strong organizational skills and attention to detail; ability to collaborate with others and manage multiple time sensitive matters in a demanding, fast-paced and matrixed environment.
- High degree of initiative, self-direction, and ability to work both independently and collaboratively within an international team and cross-functional environment.
- AM-Law 100, Magic Circle or equivalent law firm experience.
Preferred Qualifications
- Previous in-house employment as a global competition and/or merger control lawyer with a multi-national corporate legal department.
- Current or past employment with FTC, DOJ, or European Commission.
- Litigation experience, including designing strategies, managing discovery, and conducting and defending depositions.
- Intellectual curiosity and high learning agility with an interest in growing skills, experience and expertise with global antitrust as well as in new areas of law such health and well-being, AI, supply chain, marketing and licensing.
- Comfortable with ambiguity and uncertainty; the ability to adapt nimbly and advise others through complex situations in a demanding environment.
- Ability to oversee and effectively manage external counsel.
